Summary
Join Rubrik's Commercial Legal Team as a Senior Commercial Legal Counsel/Senior Contract Negotiator and play a key role in managing global commercial contracts and revenue-based transactions. You will leverage your expertise in SaaS and software licensing agreements to structure, negotiate, and close complex transactions. This role requires collaborating with cross-functional teams, assessing risks, and finding creative solutions to drive successful deal negotiations. You will also provide guidance to senior stakeholders on associated risks and liabilities, stay current on applicable laws and regulations, and develop trusted partnerships with internal teams. The position involves project management, participation in developing form agreements and best practices, and contributing to internal trainings. Requirements
- JD degree with 4-6 years of commercial contract drafting and negotiation experience at a law firm or in-house (or commensurate in-house contract management/negotiation experience)
- 2-3 years of demonstrated success negotiating complex software-as-a-service and software licensing agreements with enterprise businesses with minimal supervision
- Proficiency in data security and data privacy laws and regulations
- Demonstrated experience working with a deadline and quota-driven sales team
- Independent, motivated and enthusiastic contributor with excellent communication skills and business judgment
- Strong work ethic and professionalism required
- Excellent analytical and problem solving skills
Responsibilities
- Use your experience with software-as-a-service offerings and related matters to structure, negotiate and close transactions (e.g. SaaS and software licensing agreements, support and professional services agreements, partner and alliance agreements)
- Use sound judgment in assessing risks of non-standard legal positions
- Provide guidance to senior stakeholders on the associated risks and liabilities within the proposed commercial transaction
- Collaborate with cross functional teams to assess risks of non-standard proposals and implement practical risk mitigation strategies
- Find creative solutions to drive deal negotiations to successful completion while creating and maintaining a positive experience for both internal and external customers
- Stay current and advise on applicable laws and regulations including privacy and security, compliance, and industry-specific requirements
- Use effective time management, prioritization and communication skills to meet internal and external demands in a high volume, revenue-driven sales environment
- Develop a trusted and collaborative partnership with leadership and cross functional teams, including Sales, Sales Ops, Support, Product Ops, Finance and Accounting
- Work with product counsel and related teams to assess new products and programs for necessary updates to terms and conditions
- Exercise project management, prioritization and organizational skills to effectively manage work streams involving multiple stakeholders
- Participate in developing and implementing form agreements, playbooks, and best practices with the team
- Participate in internal trainings to support the commercial legal function at Rubrik
