Join Apogee Therapeutics as a Vice President, Corporate Counsel and lead corporate law activities, providing legal counsel and support on a broad range of matters. Reporting to the Chief Legal Officer, you will be responsible for advising the Board of Directors, Board Committees, and executive leadership on corporate governance matters.

Requirements

  • JD from an accredited law school
  • License to practice law and in good standing
  • 15+ years of legal experience, with significant in-house experience in the biotech or pharmaceutical industry
  • Proven track record of success in a senior legal role focused on corporate law, corporate governance and securities
  • Strong understanding of the pharmaceutical/biotechnology industry regulatory environment and has working knowledge of applicable laws and regulations
  • Working understanding of accounting and financial statements, business models and drivers, and revenue recognition standards and related SEC regulations and disclosure requirements
  • Excellent interpersonal and communication skills, with the ability to communicate developed strategies and analyses clearly and effectively
  • Demonstrates a history of resolving challenging legal issues and effectively delivers sound and clear legal advice in a business setting
  • Demonstrated ability to recognize and weigh business and legal risks, lead strategically and advance innovative solutions
  • Ability to collaborate with team members for internal team and cross-functional alignment on initiatives
  • Proficiency with SharePoint, and Microsoft Office programs such as Word, Excel, Teams, and PowerPoint
  • Ability to work in a rapidly changing environment and manage competing priorities

  • Ability and willingness to travel to company meetings up to 15%

Responsibilities

  • Support Chief Legal Officer in advising the Board of Directors, Board Committees, and executive leadership on corporate governance matters
  • Support Chief Legal Officer with the corporate secretary function, including preparing materials and minutes for board and committee meetings, subsidiary management, and ensuring the company's corporate governance policies and practices meet high standards and comply with relevant regulations
  • Lead the corporate law function and provide legal support on various matters, including corporate finance transactions, M&A, due diligence, joint ventures and collaborations, and other strategic alliance transactions
  • Assist in developing and maintaining training, policies, and procedures to ensure the company’s compliance with key agreements and international, federal, state, and local laws and regulations (e.g., Sarbanes-Oxley, SEC regulations, NASDAQ regulations)
  • Assist with ongoing compliance with applicable reporting requirements of the U.S. Securities and Exchange Commission and NASDAQ, including Regulation FD, periodic filings and proxy statements
  • Provide advice regarding securities law disclosure/compliance, including Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, SEC registration statements, the annual meeting proxy statement, and prepare for the annual meeting of stockholders
  • Provide securities law advice and compliance guidance for earnings releases, investor materials, management presentations and other communications
  • Support Investor Relations in connection with investor calls and conferences
  • Provide legal advice and counseling with respect to equity-based compensation plans, executive compensation matters and Section 16 reporting
  • Assist stock administration with equity plan activities and analysis and stock issuance
  • Monitor changes in legislation and regulatory environments globally, assessing their impact on the company's operations and providing counsel and advice to senior management on relevant legal and regulatory issues impacting the company
  • Assist in continuing employee education, training, and compliance programs regarding public company obligations, M&A, and insider trading
  • Promote a culture of ethical behavior and legal compliance throughout the organization
