Requirements

  • J.D. from an accredited law school
  • Licensed attorney in good standing in at least one U.S. jurisdiction
  • 2-4 years of relevant legal experience, preferably including startup/high-growth company experience
  • Strong background in commercial contracting and business transactions
  • Experience with intellectual property law
  • Excellent drafting, negotiation, and communication skills
  • Ability to work independently and manage multiple priorities in a fast-paced environment
  • Strong business acumen and ability to provide practical, solution-oriented legal advice

Responsibilities

  • Draft, review, and negotiate a wide variety of commercial agreements including customer contracts, vendor agreements, and partnership deals
  • Develop and maintain contract templates and playbooks to streamline contracting processes
  • Provide guidance on contract terms, risk assessment, and commercial deal structures
  • Support IP strategy including patent prosecution, trademark registration, and copyright protection
  • Draft and review IP-related agreements
  • Collaborate with R&D teams on invention disclosures and patent strategy
  • Monitor and ensure compliance with healthcare regulations, data privacy laws (HIPAA, GDPR, state privacy laws), and industry-specific requirements
  • Develop compliance policies and procedures
  • Provide guidance on employment law compliance including hiring, termination, and workplace policies
  • Draft and review employment agreements, offer letters, and severance packages
  • Assist with corporate governance matters including board meetings and corporate resolutions
  • Support financing transactions and M&A due diligence
  • Provide general legal counsel on business operations and strategic initiatives
  • Maintain corporate records and legal documentation systems
