Requirements
- J.D. from an accredited law school
- Licensed attorney in good standing in at least one U.S. jurisdiction
- 2-4 years of relevant legal experience, preferably including startup/high-growth company experience
- Strong background in commercial contracting and business transactions
- Experience with intellectual property law
- Excellent drafting, negotiation, and communication skills
- Ability to work independently and manage multiple priorities in a fast-paced environment
- Strong business acumen and ability to provide practical, solution-oriented legal advice
Responsibilities
- Draft, review, and negotiate a wide variety of commercial agreements including customer contracts, vendor agreements, and partnership deals
- Develop and maintain contract templates and playbooks to streamline contracting processes
- Provide guidance on contract terms, risk assessment, and commercial deal structures
- Support IP strategy including patent prosecution, trademark registration, and copyright protection
- Draft and review IP-related agreements
- Collaborate with R&D teams on invention disclosures and patent strategy
- Monitor and ensure compliance with healthcare regulations, data privacy laws (HIPAA, GDPR, state privacy laws), and industry-specific requirements
- Develop compliance policies and procedures
- Provide guidance on employment law compliance including hiring, termination, and workplace policies
- Draft and review employment agreements, offer letters, and severance packages
- Assist with corporate governance matters including board meetings and corporate resolutions
- Support financing transactions and M&A due diligence
- Provide general legal counsel on business operations and strategic initiatives
- Maintain corporate records and legal documentation systems
