Summary

Join Niche's legal team as a Commercial Counsel and play a key role in ensuring legal and business objectives are met while mitigating risk. Draft and negotiate various agreements, including master services agreements and vendor contracts. Maintain knowledge of relevant laws and regulations, and develop contract templates and processes. Assess legal risks and propose solutions. Support Niche's privacy program and provide guidance on school and government contracts. Collaborate with cross-functional teams and contribute to other legal or compliance needs. This position requires a Juris Doctor (JD), 5+ years of experience, and demonstrated expertise in drafting and negotiating complex commercial agreements. Requirements

  • Juris Doctor (JD) and active membership in at least one U.S. state bar
  • Minimum of 5 years of experience, including in-house experience
  • Demonstrated experience drafting and negotiating complex commercial agreements
  • Exceptional business judgment and the ability to provide clear, strategic advice
  • Ability to manage multiple projects and meet deadlines in a fast-paced environment
  • Top tier interpersonal and communication skills, and ability to build trust and strong relationships with stakeholders

Responsibilities

  • Draft and negotiate a broad range of relevant agreements, including master services agreements, professional services agreement, vendor contracts, data licensing agreements, and strategic partnership agreements
  • Maintain knowledge of applicable laws, regulations, and industry guidance that impact Niche’s agreements and business practices
  • Develop and maintain contract templates, playbooks, and scalable processes to drive efficiency and consistency across the organization
  • Identify and assess legal risks in contractual arrangements and propose practical solutions to mitigate them
  • Support Niche’s privacy program, including by maintaining some fluency in student and children’s privacy, including the Family Educational RIghts and Privacy Act, Children’s Online Privacy Protection Act, and various state privacy laws
  • Maintain knowledge and provide guidance on school and local and state government contracts
  • Work cross-functionally with business and legal colleagues to support the business
  • Help with other legal or compliance needs as they arise
  • Work efficiently and effectively to speed transactions to close
