Corporate Counsel

Summary

Join Aya Healthcare, a rapidly growing healthcare workforce solutions provider, as their Corporate Counsel (Transactions)! This remote position, preferably in the PST/MST/CST time zone, focuses on providing legal expertise for various business contracts. You will review, draft, and negotiate vendor, supplier, and other commercial agreements, collaborating with internal stakeholders. The role also involves improving contractual documents and providing legal analysis. While the primary focus is vendor contracting, support on technology transactions may be needed. Requirements

• Must be admitted to the Bar and in good standing
• Must have J.D. from ABA-accredited law school

Responsibilities

• Review, draft, redline, negotiate, and approve for execution, Aya Healthcare’s day-to-day business to business contracts and contract amendments, including vendor, supplier, professional services, licensing, and other commercial agreements that support business operations
• Partner with Procurement, IT, Security, and business stakeholders to support contract lifecycle management, risk assessments, and internal approval processes for third-party vendor engagements
• Develop and recommend improvements for standard contractual documents, templates, playbooks and clause libraries
• Assist internal clients with contract negotiation and RFP responses, as appropriate
• Perform legal analysis and make recommendations on legal, contractual, risk, and compliance issues relating to vendor relationships
• Provide secondary support on SaaS, licensing, and other technology-related agreements as needed to assist team members managing those portfolios

Preferred Qualifications

• 4+ years’ experience dealing with transactional matters is highly preferred
• Experience in healthcare, staffing, or services industry a plus
• Familiarity with procurement processes, vendor risk assessment frameworks, and related compliance issues (e.g., data privacy, cybersecurity, insurance coverage) is a plus
• Preferred prior experience at a mid to large sized law firm and in-house legal department
• Preferred experience working with contract management or document management software
• Ability to work accurately in fast-paced environment and maintain a sense of urgency
• Ability to communicate complex legal and risk-related concepts clearly and concisely to non-legal stakeholders
• Exceptional attention to detail
• Strong negotiation and communication skills
