Join Formstack, a Denver-based company with a global team, as a detail-oriented Corporate Counsel to lead contract negotiations for our rapidly growing SaaS business. You will negotiate, draft, and review commercial software contracts, ensuring revenue generation and risk mitigation. Success in this role requires deep experience in SaaS agreements, vendor contracts, and partnerships, along with strong negotiation skills. You will collaborate with various teams to align contract terms with company objectives and manage contract-related disputes. Requirements
- Juris Doctor (JD) degree from an accredited law school
- Licensed to practice law in Colorado
- 5-8+ years of legal experience, preferably in a SaaS or technology company
- Strong knowledge of contract law and data privacy regulations
- Excellent negotiation, analytical, and communication skills
- Ability to work in a fast-paced, high-growth environment and manage multiple priorities
- Experience working with CLM software (such as Ironclad)
Responsibilities
- Lead Contract Negotiations : Serve as the primary legal contact for negotiating contracts, including SaaS agreements, enterprise customer contracts, vendor agreements, and strategic partnerships
- Draft & Review Agreements : Develop clear, legally sound contracts that align with business goals, risk mitigation strategies, and industry best practices
- Cross-Functional Collaboration: Work closely with sales, procurement, finance, and product teams to ensure contract terms align with company objectives
- Risk Management : Identify potential risks in contractual obligations and develop solutions that balance legal compliance with business flexibility
- Regulatory Compliance : Ensure agreements comply with data privacy laws (GDPR, CCPA), cybersecurity standards, and industry regulations
- Contract Process Optimization : Help build and refine contract templates, policies, and negotiation playbooks to improve efficiency and consistency
- Dispute Resolution & Enforcement : Support resolution of contract-related disputes and ensure effective enforcement of contractual obligations
