Summary
Join toogeza, a Ukrainian recruiting company, as a Senior Lawyer with expertise in IT, real estate, and international structuring. You will provide full-cycle legal support across various areas, including commercial contracts, M&A, corporate structuring, and real estate development. Requirements
- 5+ years of legal experience in law firms, consulting, or international companies
- Proven expertise in corporate law, IT law, and real estate transactions
- Experience with non-resident company registration, structuring, and international tax planning
- Strong knowledge of Ukrainian tax and corporate legislation
- Fluent legal/business English and excellent drafting skills
- Strong attention to detail, organizational and project management skills
- Analytical mindset and critical thinking
- Ability to multitask and process large volumes of information
- Positive, proactive attitude and a result-oriented approach
Responsibilities
- Draft, review, and negotiate a wide range of commercial agreements: NDAs, software licensing, software development, investments, service, construction, supply, and purchase contracts
- Provide legal support for corporate transactions and shareholder relations, including SPAs, shareholder agreements, MoUs, and intercompany documents
- Advise on corporate structuring and restructuring: SPVs, holding structures, and cross-border entities
- Conduct legal due diligence for land plots, buildings, and development rights
- Support real estate transactions: acquisition, lease, sublease, and property transfers
- Coordinate with local authorities regarding zoning, land use, and permitting processes
- Manage legal processes related to design, construction, and general contractor agreements
- Supervise external counsel, notaries, and registrars for property registration and compliance
- Prepare legal opinions and analytical reports related to Ukrainian, EU, and international legislation
- Monitor legal and tax compliance, and stay updated on regulatory changes
- Communicate with law firms, business partners, and authorities across multiple jurisdictions
