Join Commencis' dynamic legal team as a high-performing Legal Counsel, playing a key role in shaping the organizationโs long-term strategy and managing legal risks. You will draft, review, and negotiate complex commercial agreements; provide legal advice to internal stakeholders; support corporate governance processes; contribute to compliance programs; collaborate with various teams; and assist in M&A transactions. The ideal candidate is a solution-oriented, analytical thinker with 4โ7 years of relevant experience in a top-tier law firm or in-house legal team, preferably in the tech sector. Requirements
- LL.B. from a reputable university and admitted to the Turkish bar
- 4โ7 years of relevant legal experience in a top-tier law firm or an in-house legal team (preferably in the tech, SaaS, or digital services sectors)
- Strong experience in drafting and negotiating commercial contracts
- Solid knowledge of corporate law and experience in day-to-day corporate legal matters
- Working knowledge of IP law and/or interest in further developing IP expertise
- Fluency in English, both written and spoken; ability to work comfortably in English-language legal environments
- Ability to balance multiple tasks in a fast-paced and evolving business environment
- Strong communication, stakeholder management, and problem-solving skills with a proactive mindset
Responsibilities
- Draft, review, and negotiate a wide variety of complex commercial agreements , including software license, SaaS, MSA, partnership, vendor, and client contracts
- Provide clear, practical legal advice to internal stakeholders on contract structuring, legal risks, and compliance matters
- Support and advise on corporate governance processes , including drafting shareholder and board resolutions, maintaining corporate books, and managing legal entity documentation
- Monitor and contribute to compliance programs in areas such as data protection , competition law , and AI governance
- Collaborate with the product, finance, HR, and operations teams to ensure legal alignment across business processes and strategic initiatives
- Assist in the development and continuous improvement of internal legal documentation, playbooks, and training materials
- Contribute to or support M&A transactions , including legal due diligence, corporate structuring, and document review

Exposure to or interest in M&A processes is highly desirable
