Legal Structuring Officer

Summary

The job involves participating in the structuring and monitoring of UCITS and alternative vehicles under Luxembourgish, French, Dutch, and other jurisdictions' laws. The candidate will also be responsible for setting up new managers, maintaining existing contractual bases, negotiating contracts related to derivative products, and handling licensing agreements for indices and marketing rights. Additionally, the candidate will participate in negotiations for distribution and dissemination of data contracts, transverse projects (IT, organizational, transitions), centralizing, coordinating, and following up on legal subjects, and general legal negotiations.

Requirements

• Experience in asset management is essential
• 5 to 10 years of experience as a lawyer within a financial institution, ideally including initial experience in a law firm
• Bachelor's degree in Finance or Law
• Fluent English level
• Experience confirmed on derivative products contracts (ISDA)

Responsibilities

• Participate in the structuring and monitoring of UCITS and alternative vehicles under Luxembourgish, French, Dutch, and other jurisdictions' laws
• Set up new managers and maintain the existing contractual base (negotiation of contracts of delegation, advice, and exclusivity)
• Set up contracts related to derivative products (ETD and OTC, ISDA, CSA, Pledge…)
• Set up a contract for the licensing of indices, marketing rights, etc
• Participate in negotiations for data distribution and dissemination contracts: distribution contracts, platform distribution contracts, dissemination of data to Data Vendor and partnership agreements
• Participate and negotiate contractually on transverse projects (IT, organizational, transitions)
• Centralize, coordinate, and follow up on legal subjects

Preferred Qualifications

Experience in structuring complex products (Hedge funds and Private Equity particularly)
