Join Ofload, a high-growth FreightTech company revolutionizing the Australian freight industry, as their first Senior Legal Counsel. This role offers autonomy to build and implement legal processes, ensuring compliance and mitigating risks across various departments. You will be instrumental in establishing a dedicated Legal and Compliance Team, supporting the company's rapid expansion and preparing for an IPO. Requirements

  • Qualified lawyer with a minimum of 8 + years PQE, with experience in both private practice and in-house at a high-growth organisation
  • Project management experience, with demonstrated ability to independently move projects forward by gaining the support needed from others while working in a cross-functional role
  • Proven ability to work autonomously and collaboratively in a fast-paced environment
  • Excellent communication skills, with the ability to effectively interact with stakeholders at all levels
  • Strong analytical mindset to identify potential risks and implement effective controls
  • Adaptable and proactive mindset that can thrive in a rapidly evolving organisation

Responsibilities

  • Be an integral part of the build-out of Ofload’s commercial legal infrastructure so that we can scale and operate efficiently at pace with Ofload’s exponential growth - this work includes drafting and maintaining Ofload’s agreements and playbooks, leading and contributing projects to improve internal processes and operational efficiencies
  • Review, draft, negotiate, and interpret various commercial agreements including SaaS agreements, NDAs, vendor contracts, transport agreements, platform integration, and partnership agreements, and ensure that all commercial agreements adequately protect the company’s interests, improve processes, and increase scalability
  • Support on company secretary responsibilities, including drafting board and shareholder resolutions, and handling business filing with ASIC
  • Lead the legal function work stream as the business prepares for an IPO listing on the ASX
  • Advise on general corporate matters such as compliance with shareholders' deeds, company constitution, corporate governance, regulatory compliance, and risk management strategies
  • Develop and maintain a framework of compliance within the organisation, including owning claims and insurance
  • Collaborate cross-functionally to build and enhance legal processes, policies, and procedures
