Summary
Join Soros Fund Management LLC's Legal team as a Staff Attorney specializing in confidentiality and non-disclosure agreements (NDAs) and vendor contracts. This fully remote role, with potential for occasional NYC visits, offers exposure to sophisticated investment transactions and collaboration with various teams. While not offering significant advancement opportunities, the position involves drafting, reviewing, and negotiating NDAs and contracts, assessing MNPI/inside information, performing conflict checks, and handling ad-hoc legal projects. The ideal candidate will possess strong legal experience, excellent communication skills, and business acumen. The role reports to the Assistant General Counsel and involves collaboration with other legal professionals and investment teams.
Requirements
- J.D
- Active bar membership in good standing in at least one U.S. jurisdiction
- Minimum of 5 years of relevant legal experience drafting and negotiating NDAs or other investment-related transaction documentation
- Experience will have been gained at either a top-tier law firm and/or as an in-house attorney at a financial services institution or private investment firm
- Outstanding written and oral communication skills, including strong drafting skills and attention to detail
- Strong business acumen and the abilities to understand the business consequences of legal advice and to assess the trade-off between legal risk and business reward
- Practical business judgment and the ability to communicate complex legal issues clearly and succinctly
- Strong analytical and issue-spotting skills
- Self-starter who understands executing with urgency and is able to comfortably work in a fast-paced, deadline-oriented environment
- Ability to work independently but still be a strong team player
Responsibilities
- Draft, review and negotiate NDAs in connection with a broad array of investment opportunities
- Assess and analyze MNPI/inside information issues in connection with NDAs/investment opportunities to determine what companies, if any, should be placed on the firmβs restricted list
- Collaborate with compliance officers, paralegals and legal analysts to perform conflict checks with respect to potential investment opportunities and NDA counterparties
- Communicate with investment teams to explain and seek approval for contractual restrictions such as non-circumvent and standstill provisions
- Draft, review and negotiate non-investment related NDAs
- Review and negotiate investment-related and non-investment related vendor contracts
- Ad-hoc specialized legal projects, as needed
