Requirements
- J.D. degree with strong academic credentials and member in good standing of at least one state bar
- At least two years of experience drafting, negotiating, and providing guidance on a wide variety of technology transaction agreements
- Great judgment, attention to detail, interpersonal, and communication skills
- Enthusiastic, hard-working, empathetic person, who enjoys collaborating with many teams (departmental as well as cross-functional)
- Strong work ethic and the highest level of integrity and business ethics
- Positive demeanor and a good sense of humor
- Ability to self-start and work independently
- Must be eligible to work in the US without sponsorship from an employer now or in the future
- Must be in the office at least three days per week
Responsibilities
- Negotiate customer contracts
- Develop a progressive understanding of government procurement
- Review and negotiate vendor, partner, and other contracts leveraging strong negotiation skills to secure favorable terms and conditions for OpenGov while maintaining positive relationships with all parties involved
- Demonstrate excellent communication skills both internally and externally
- Provide legal advice and guidance to internal stakeholders on legal matters
- Conduct thorough reviews and analysis of contracts to identify potential risks, ambiguities, and discrepancies that may impact the organization's interests and document the same
- Continuously improve internal templates and legal processes to create efficiencies across the function
Preferred Qualifications
- Understanding of cloud and software industries, including SaaS model, and a strong desire to work on tough legal issues in these areas preferred
- Experience in drafting and negotiating vendor, non-disclosure, partnership, license, and other transaction agreements preferred
- Familiarity with basic revenue recognition rules preferred
- Working knowledge of Microsoft Word and Excel, Slack, G Suite, Gmail, DocuSign, and Salesforce preferred
