Contracts Program Manager

Summary

Join Vercel's Legal team as their first Sr. Contracts Negotiator, reporting to the VP of Legal. You will play a key role in contract negotiation and process optimization to accelerate deal closures. Collaborate with internal teams and external partners to ensure accuracy, efficiency, and speed in contract execution. This position requires drafting, negotiating, and executing complex commercial agreements. You will also develop and maintain templates and playbooks for Vercel's standard agreements. The ideal candidate will have 5+ years of experience as a contracts negotiator and a strong understanding of commercial contract law, particularly SaaS agreements. Requirements

• 5+ years of experience working as a contracts negotiator in a large law firm, or in-house
• Advanced understanding of commercial contract law, particularly with respect to SaaS agreements
• Experience creating and managing legal playbooks and independently drafting, negotiating and executing commercial contracts
• You’re excited to learn Vercel’s product, frond-end cloud technology, and hosting-related systems and policies
• Comfort and experience with technology solutions (including AI) to help scale and automate contracting programs
• Ability to work independently and judgment to escalate appropriately
• Strong analytical and problem-solving skills to review and analyze complex information
• Demonstrated customer service skills in a fast-paced, high-volume, dynamic and intellectually challenging work environment
• Excellent interpersonal skills, sound judgment and the ability to conduct thorough negotiations in a timely manne

Responsibilities

• Independently, and in collaboration with Vercel's Legal team, draft, negotiate and execute complex commercial agreements such as Master Services Agreements, Amendments, Data Processing Addenda, Partnership Agreements, and Order Forms and Statements of Work
• Enhance cross-functional collaboration across Vercel’s Engineering and Product, Go-to-Market, and Finance teams to drive the negotiation of sales and procurement deals
• Develop and maintain templates and playbooks for Vercel’s standard agreements
• Help with standardisation of documentation and processes across multiple jurisdictions
• Advise and assist internal customers by interpreting and explaining contract terms
• Manage alternative legal service providers in relation to contract-related workflows

Preferred Qualifications

• Have experience using procurement tools (Zip) and contract program automation tools (Ironclad)
• Have worked in a startup/hypergrowth environment
