You will review and process contracts, maintain corporate records, form and manage entities, and support financings and commercial transactions. Requirements
- Bachelorβs degree
- Experience with tools like Google Suite, Slack, Carta, and contract management platforms
- Business acumen with the ability to balance legal risk with commercial priorities
- Strong organizational skills with the ability to manage multiple priorities in a fast-paced environment
- Proactive and adaptable
- Ability to work independently, take initiative, and propose solutions
- Must be able to work within PST working business hours
Responsibilities
- Review, redline, and process contracts, including but not limited to, NDAs, master service agreements, and financing documents
- Form and maintain corporate entities, manage governance records, and track equity and cap tables
- Develop and optimize legal tools, templates, and processes for efficiency and consistency
- Provide onboarding and training on legal processes, templates, and tools
- Support attorneys in due diligence, financings, policy development, and operational matters, ensuring legal guidance aligns with business & commercial priorities
- Maintain the legal contract repository and suggest improvements for better tracking and due diligence
- Collaborate on special projects, transaction closings, and corporate initiatives
- Provide corporate organization and entity management, including (i) formation, maintenance and dissolution of entities, (ii) creation and maintenance of corporate organizational charts, (iii) conducting lien searches, (iv) tracking and managing membership interest certificates and share certificates log, (v) maintain and manage cap tables and equity records, and (vi) assist in the review and maintenance of corporate governance records
