Summary

Join Agile Legal, a fast-growing company, as a project-based senior corporate paralegal in our Virtual Paralegal Service team. This 1099 remote position requires availability during morning/daytime hours. The ideal candidate possesses extensive knowledge of business entities and transactional work, including mergers and acquisitions. You will draft legal documents, prepare and file paperwork, communicate directly with clients, and maintain client confidentiality. Requirements

  • Minimum of five years of specialized experience in corporate law
  • Experience with one or more software platforms
  • Proficiency in Microsoft Office and Adobe

Responsibilities

  • Drafting resolutions, consents, minutes, stock transfers, agreements, bylaws, articles, certificates, amendments and affidavits for all types of business entities
  • Preparing and filing articles, withdrawals, amendments, qualifications, dissolutions, articles of merger, annual reports, business certificates and financing statements in all states
  • Direct communication with clients and client advisors
  • Complying with and understanding company operations, policies and procedures
  • Keep confidentiality of client and client’s client matters
  • Performing other related duties as assigned

Preferred Qualifications

  • Familiarity with corporate closings, venture capital financings, and NVCA forms
  • Experience with taking board minutes and corporate secretarial functions
