Requirements

  • Juris Doctor (JD) degree from an accredited law school
  • 6+ years of legal experience, preferably in corporate law, employment law, and SaaS contracts
  • Deep understanding of corporate governance, securities law, and venture capital transactions
  • Strong background in employment law and workforce compliance (e.g., contractor classification, labor laws)
  • Experience drafting and negotiating software/SaaS agreements, commercial contracts, and data privacy policies
  • Knowledge of GDPR, CCPA, and other data protection regulations
  • Strong business acumen with the ability to balance legal risk and business priorities
  • Excellent communication, negotiation, and stakeholder management skills

Responsibilities

  • Oversee corporate governance, including entity management
  • Support legal aspects of M&A, fundraising, and strategic transactions
  • Ensure compliance with regulatory filings, stockholder agreements, and corporate policies
  • Provide legal guidance on U.S. and international employment laws, including the classification of workers (e.g., full-time vs. contractor status)
  • Develop and oversee compliance programs to ensure adherence to labor laws, data protection, and industry regulations
  • Monitor legal trends in gig economy laws, independent contractor compliance, and labor regulations
  • Partner with HR to ensure compliant hiring, onboarding, and termination processes
  • Draft, negotiate, and manage a variety of commercial agreements, including SaaS contracts, vendor agreements, customer agreements, and NDAs
  • Advise on data privacy (CCPA, GDPR), intellectual property, and software licensing
  • Collaborate with sales, finance, and product teams to streamline contract processes and mitigate
  • Ensure any agreement the Company enters into properly protects IP. This includes employment, contractor, vendor, partner, and customer agreements
  • Develop and implement compliance frameworks for software/SaaS business operations
  • Monitor and advise on regulatory changes affecting the SaaS industry and workforce management space
  • Lead training and policies on risk mitigation, data security, and legal best practices
