General Counsel

Summary

Join Human Agency as their General Counsel, a fully remote role with travel for legal matters. You will provide comprehensive legal oversight across multiple jurisdictions, focusing on Delaware law. This key role involves developing legal strategies, mitigating costs, advising on HR and business operations, and ensuring compliance. You will collaborate with senior leadership and external counsel. The position requires 4-8+ years of experience in commercial litigation, transactional law, and corporate governance, with multi-jurisdictional expertise, particularly in Delaware law. Requirements

• 4–8+ years of experience in commercial litigation, transactional law, and corporate governance, with substantial experience in legal matters governed by Delaware, New York, Massachusetts, and/or Missouri law
• Demonstrated ability to handle legal matters across multiple jurisdictions, particularly in Delaware, New York, Massachusetts, and Missouri
• Proven ability to independently manage a wide range of legal matters, including litigation, arbitration, business transactions, and compliance
• Comfortable working in a fast-paced, dynamic environment and capable of managing shifting priorities across various business areas
• Strong communication and interpersonal skills, with the ability to build relationships and work collaboratively across various teams and external stakeholders
• Demonstrated ability to proactively address legal risks, resolve complex legal challenges, and provide strategic business guidance

Responsibilities

• Serve as the principal legal advisor, managing legal matters across multiple jurisdictions, including Delaware, New York, Massachusetts, Missouri, and others as required
• Develop and implement legal strategies for arbitration, litigation, mediation, injunctions, complaints, and other disputes
• Oversee the drafting of legal documents, filing of complaints, negotiations, in court representation of the client, and ensuring compliance with applicable state laws
• Handle the majority of legal work in-house, managing legal costs and minimizing the need for external counsel
• Advise on employment law, compliance, employee contracts, and internal HR policies
• Provide strategic guidance on risk management, corporate structuring, business transactions, and compliance initiatives
• Ensure the organization complies with relevant laws and regulations across multiple states and maintains strong corporate governance practices
• Oversee contract negotiations, drafting, and review to support business operations and growth
• Engage external law firms for highly specialized legal matters when necessary, ensuring efficient use of external resources
• Proactively identify and address legal risks, and implement policies and procedures to protect the organization and support its growth

Benefits
