Summary
Join Outside GC, a leading virtual law firm, as a seasoned corporate attorney specializing in commercial real estate. You will leverage your 10+ years of experience, including in-house counsel roles, to provide comprehensive legal services to our diverse clientele. This fully remote position offers flexibility and the opportunity to collaborate with a team of highly experienced professionals. Your expertise will encompass transaction lead drafting, negotiation, portfolio management, dispute resolution, real estate finance, and due diligence. Requirements
- At least 10+ years of corporate legal practice, including experience as an in-house attorney, serving as a General Counsel and/or in another senior in-house legal role
- 3+ years of law firm training
- J.D. from a nationally accredited law school
- State bar membership in the state where you reside/practice
Responsibilities
- Draft, review, and negotiate complex commercial real estate agreements
- Represent buyers and sellers in acquisitions and dispositions of commercial properties
- Structure and draft joint venture agreements, co-ownership arrangements, and related documents
- Draft and negotiate brokerage agreements
- Draft and negotiate construction and development agreements
- Act as general counsel for clients with large real estate portfolios, advising on property management agreements and operational issues
- Provide ongoing compliance advice regarding lease terms, maintenance obligations, and tenant relationships
- Develop strategic plans for portfolio acquisitions, dispositions, or realignment
- Provide proactive advice to minimize risks and resolve disputes related to commercial real estate
- Represent borrowers and lenders in negotiating and documenting financing arrangements
- Assist clients in evaluating and securing funding from government programs and other sources
- Conduct and oversee comprehensive due diligence for real estate transactions
