Requirements
- Member of a US State Bar
- J.D. degree from an ABA-accredited law school
- Minimum 3-4 years of experience practicing corporate law at a law firm
- Ability to proactively manage a diverse and complex workload, while maintaining priorities and driving towards successful outcomes
- Solid written and verbal communication skills with an ability to translate complex legal issues into concise and practical guidance
- Excellent strategic business insight and personal integrity
- Detail-oriented, enthusiastic, resourceful, diligent, and comfortable acting in the face of ambiguity
Responsibilities
- Report to the Associate General Counsel and work collaboratively with cross-functional leaders around the organization
- Build close relationships with business partners across the Company, including members of the product, engineering, sales, risk, operations, finance and people teams and advise on a wide range of corporate matters
- Support the Company’s capital markets initiatives, including negotiation of warehouse agreements, securitizations and other debt facilities, as well as forward flow and other loan sale arrangements
- Manage ongoing relationships with financial counterparties, including facilitating required reporting in conjunction with the financial operations team and documenting amendments as needed in conjunction with the credit and capital markets teams
- Assist with the Company’s equity raising transactions and capitalization table management, including administration of the Company’s employee stock option plan
- Review, draft and negotiate a variety of commercial agreements including MSAs, SOWs, NDAs, leases and vendor and partnership agreements
Preferred Qualifications
- Experience running successful corporate transactions
- Experience working with public companies and public company reporting
- Experience with debt or equity capital markets transactions, structured finance, and/or other secured lending transactions
- Familiarity with consumer lending regulations and processes
- Familiarity with securities laws
