Summary
Join our legal team as a highly organized and detail-oriented Corporate Paralegal. You will manage the legal aspects of our domestic and global entities, ensuring compliance. The ideal candidate has experience in international subsidiary management, corporate law, and leveraging technology for efficient record-keeping. Responsibilities include executing corporate governance and entity maintenance filings, improving the entity management system, collaborating with other departments, assisting with shareholder meetings, managing service providers, responding to KYC/UBO requests, assisting with RFP responses, performing legal research, and handling special projects. The position requires 7+ years of corporate paralegal experience, an associate's degree or higher, strong organizational and communication skills, proficiency in Microsoft Office and other software, and experience with cloud-based subsidiary management platforms. A paralegal certification and notary public status are preferred.
Requirements
- 7+ years corporate paralegal experience; mix of large law firm and in-house experience preferred
- Associates degree or higher; paralegal certification preferred
- Highly organized, responsible, and able to exercise independent judgment to prioritize competing demands and complete work timely and professionally
- Team-oriented and collaborative approach
- Effective written and verbal communications, with a high level of professionalism in all interactions and correspondence
- Self-motivated and proactive with a strong sense of ownership to complete tasks in areas of responsibility
- Demonstrated ability to learn new skills and technology, willingness to ask questions and be resourceful to accomplish work objectives
- Proficient with Microsoft Office (Word, Outlook, Excel, PowerPoint, Visio), Adobe Professional, DocuSign, SharePoint
Responsibilities
- Execute and manage domestic and international corporate governance and entity maintenance filings, including preparation of internal legal documentation, D&O changes, POAs, organizational document amendments, notary/apostille requirements, state and local filings relating to legal entity formations, foreign qualifications, dissolutions, name changes, conversions, internal mergers and fictitious business names; retain and manage third party vendors, including outside counsel, to assist with the same
- Maintain and improve recently implemented entity management system, work with cross-functional stakeholders to support adoption, training and use of the same to ensure timely and accurate sharing of entity information
- Collaborate with finance, tax, treasury and other departments to support global subsidiary operations and special transactions as needed
- Assist with shareholder and director meetings and record keeping, including maintaining the minute book, and preparation of meeting materials
- Vet, select and manage service providers supporting the global subsidiaries, monitor and optimize spend; devise and maintain reports on entity management requests and spend
- Respond to KYC and UBO requests by liaising with private equity contacts, maintaining accurate records and supporting stakeholders with requisite documentation
- Assist with client RFP responses, with respect to legal and corporate data
- Perform legal (Westlaw and/or other databases) and factual research, and prepare written, statistical and graphical reports as needed to support compliance and entity management efforts
- Handle special projects as requested
Preferred Qualifications
- Prior experience with cloud-based subsidiary management platforms (e.g., Diligent) a plus
- Notary public or willingness to become a notary
