Assistant General Counsel, Corporate and Securities

Join us at Headway, a mission-driven company building a new mental healthcare system everyone can access. We're seeking an Assistant General Counsel, Corporate and Securities to formalize our corporate and securities practice and lead debt and equity financing transactions.

Requirements

• You have 8+ years total experience, including 4+ years in-house experience, preferably at a high-growth company
• Healthcare-related experience is ideal due to our healthcare corporate structure
• You are barred in a US state and able to practice through NY in-house counsel registration

Responsibilities

• Lead our corporate and securities function
• Lead debt and equity financing transactions
• Lead M&A transactions
• Maintain corporate books and records and take Board minutes
• Oversee the administration of our stock plan and related equity programs
• Maintain and update our Management Services Organization agreements and relationships
