Summary
Join Global Healthcare Exchange (GHX) as their Commercial and Products Counsel! This role requires 5+ years of in-house commercial counsel experience, specifically within the healthcare SaaS technology sector. You will provide global legal support for commercial transactions, draft and manage contracts, collaborate with cross-functional teams, and manage the company's intellectual property portfolio. The position demands strong legal expertise, negotiation skills, and the ability to navigate a fast-paced environment. Requirements
- Juris Doctor (JD) degree from an accredited law school
- Active bar membership in good standing
- Minimum of 5 years of experience as an in-house commercial counsel, preferably in the healthcare SaaS technology industry
- Strong understanding of contract law, commercial transactions, and regulatory compliance
- Experience overseeing go-to-market processes and managing intellectual property portfolios
- Experience managing and enforcing commercial legal contracting processes
- Excellent negotiation, drafting, and communication skills
- Ability to work independently and collaboratively in a fast-paced environment
- Strong analytical and problem-solving skills with a business-oriented approach
Responsibilities
- Provide global legal support on a wide range of commercial transactions, including drafting, reviewing, and negotiating contracts with customers
- Draft and maintain template agreements; identify gaps and recommend and develop legal and cross functional contract processes and improvements
- Review, implement, communicate, enforce, and manage legal contract processes
- Collaborate with cross-functional teams to support product development and ensure compliance with applicable laws and regulations
- Provide clear, reasoned risk analysis and opportunities related to contracts and new and existing products and services for leadership
- Manage the commercial go-to-market process, ensuring alignment with legal and regulatory requirements
- Manage and develop the company's intellectual property portfolio, including patents, trademarks, and copyrights
- Manage and enforce the commercial legal contracting process to ensure efficiency and compliance
- Develop and implement legal strategies to support business growth and innovation
- Ensure compliance with healthcare regulations, data privacy laws, and industry standards
- Manage and resolve legal disputes and claims in collaboration with external counsel when necessary
- Stay current on relevant legal developments and industry trends to proactively address potential legal issues
- Provide training and support to internal teams on legal and compliance matters
Preferred Qualifications
- Experience implementing large-scale software programs, e.g., a contract lifecycle management program
- Experience with AI in legal department operations context
- Experience with healthcare regulations and data privacy laws is a plus
