Requirements

  • Possess a Juris Doctorate from a US-accredited law school and maintain current and continuing good standing in at least one state
  • Have a minimum of five (5) years of professional experience, ideally with the last 3 or more spent as in-house counsel
  • Have extensive experience in complex contract drafting and negotiation for master service agreements, enterprise clients, commercial partnership agreements (agreements with value added resellers, buying groups, etc.), and other vendor agreements
  • Have extensive experience in complex contract drafting and negotiation of various types of agreements (e.g., master service agreements, software/SaaS agreements, enterprise client agreements, professional services agreements, customer agreements, commercial partnership agreements (agreements with value added resellers, buying groups, etc.) and vendor agreements

Responsibilities

  • Provide a broad range of legal support on all contract issues for the business with a focus on master service agreements, software/SaaS agreements, enterprise client agreements, professional services agreements, customer agreements, commercial partnership agreements (agreements with value added resellers, buying groups, etc.) and vendor agreements
  • Provide strategic legal advice to the management team
  • Lead in structuring and negotiating complex commercial contracts
  • Ensure that the legal contracting function is aligned with the company's business objectives
  • Create, maintain, and implement documentation for contracts, playbooks, and guidance to the organization on requirements and overall process for escalations
  • Work closely with and collaborate with members of the operations and customer experience teams to ensure that client needs are met
  • Collaborate effectively with the Chief Financial Officer, senior business leaders, and other professionals at all levels of an organization while utilizing excellent business and legal judgment in complex situations
  • Manage significant work volume while being responsive and managing quick turnaround times

Preferred Qualifications

  • Have extensive experience in complex contract drafting and negotiation of various types of agreements (e.g., master service agreements, software/SaaS agreements, enterprise client agreements, professional services agreements, customer agreements, commercial partnership agreements (agreements with value added resellers, buying groups, etc.) and vendor agreements
  • Work from the Company’s Austin, TX office (hybrid schedule)
  • Possess strong organizational skills, including organizing contracts databases across customer, partnership, and vendor agreements
