Commercial Counsel

This remote position, based in the US (with optional New York office), involves drafting, negotiating, and closing commercial transactions. You will partner with sales and business teams, stay informed on legal frameworks, and provide legal advice to cross-functional teams. The ideal candidate possesses strong legal experience in SaaS or technology agreements, a deep understanding of enterprise software, and excellent communication skills. Requirements

• JD with active membership in at least one U.S. state bar (New York preferred)
• 3+ years of relevant legal experience (in-house experience preferred), with at least 2 years focused on drafting and negotiating SaaS or technology agreements
• A deep understanding of enterprise software agreements, SaaS licensing, data protection, and intellectual property, with the ability to navigate complex commercial transactions. You know how to structure, draft, and negotiate a variety of agreements for the tech industry
• A background in privacy and data protection laws that you can apply in commercial negotiations
• Excellent analytical and communication skills to support cross-functional teams as well as external clients and partners

Responsibilities

• Draft, negotiate, and close complex commercial transactions with the company’s customers, vendors, and strategic partners across diverse industries
• Partner closely with sales and business teams to develop and execute strategies that drive our high-growth, go-to-market initiatives
• Stay informed on evolving legal frameworks, industry standards, and regulatory guidance, and apply this expertise to support the development of new contract templates
• Provide practical, solutions-oriented legal advice to cross-functional teams, ensuring business objectives align with legal and regulatory requirements
• Develop and refine playbooks, policies, and best practices to improve efficiency in commercial negotiations and contract management
• Contribute actively to the Legal Team’s efforts to scale commercial functions while fostering a collaborative, supportive team culture

Preferred Qualifications

Cross-border experience, particularly in the U.S., UK, and EU. Dual-qualification is a plus
