Summary

Join a rapidly growing SaaS company valued at over $1.5 billion as a Commercial Counsel, a fully remote position based in the San Francisco Bay Area. As the primary point of contact for all contract-related matters, you will be responsible for drafting, reviewing, and negotiating agreements with both vendors and customers. Requirements

  • At least 4 years of law firm or in-house experience with training in transactions or commercial contracts
  • JD and license to practice law in at least one state
  • Strong written and verbal communication skills
  • Passion for partnering with Sales and closing revenue deals
  • Ability to translate between business and technical risk and communicate clearly to business and technical constituencies
  • Strong attention to detail
  • Self-initiative that drives a desire for impact and achievement
  • Comfort with fast-paced environments and aptitude to prioritize and communicate effectively with a variety of stakeholders in such an environment
  • A sense of humor and above all else, a positive attitude

Responsibilities

  • Draft, review, and negotiate master services agreements and DPAs with customers and work closely with Sales, Customer Success and Support teams to close both new and renewal revenue deals
  • Draft, review, and negotiate a wide range of other commercial agreements, including partnership agreements, reseller agreements, vendor agreements
  • Work closely with other members of the legal team as it relates to drafting disclosure language, updates to terms of service, and other contractual related needs
  • Provide legal advice in commercially related areas including intellectual property, privacy, regulatory, and employment law
  • Identify gaps and provide resources and training to go-to-market teams as it relates to contracting process and contracting terms
  • Assist with other legal support tasks that arise

Preferred Qualifications

Experience drafting and negotiating SaaS agreements and data processing agreements in-house at a technology company preferred

Benefits

  • Compensation is targeted in the two hundred thousand dollars range and includes a target bonus, equity grant and benefits
  • Compensation will depend on geographic region residence and level of directly relevant experience
