Join our client, a professional licensing company in Palo Alto, as their part-time General Counsel. This role requires managing day-to-day legal operations, collaborating with internal and external parties, and ensuring compliance. You will support the execution of business strategy, plans, and licensing initiatives, overseeing legal operations, and managing litigation. The ideal candidate will have extensive experience in patent licensing and litigation management, strong negotiation and communication skills, and the ability to manage multiple projects. Requirements
- Juris Doctor (JD) from an accredited law school
- Relevant experience (8+ years) in patent licensing and litigation management
- Strong negotiation, drafting, and analytical skills
- Excellent communication and interpersonal skills
- Ability to manage multiple projects and adhere to timelines in a fast-paced environment
Responsibilities
- Support the execution of business strategy, plans, and licensing initiatives
- Oversee daily legal operations, including corporate law, finance, licensing, and litigation management
- Manage relationships with outside counsel and partners effectively
- Assist the Intellectual Property and Compliance (CIPC) team with all licensing projects
- Prepare, review, and present comprehensive claims charts accurately and on time, in collaboration with external experts and litigation counsel
- Support negotiations and agreements related to licensing and litigation settlements
- Manage external litigation counsel from pre-filing investigations through to trial globally
- Develop effective case strategies to achieve favorable outcomes
- Work closely with external litigation counsel to create robust liability and damages theories that align with corporate objectives
- Collaborate with the leadership team to formulate a coordinated global litigation strategy that supports corporate goals
- Draft, negotiate, and execute various corporate agreements, including licensing and settlement agreements, non-disclosure agreements, and contracts with third-party vendors, partners, and consultants
- Ensure adherence to corporate governance and compliance standards, including tax obligations and reporting requirements mandated by litigation finance and corporate partners
