Requirements
- Bachelorβs degree and Paralegal Certificate from an ABA-accredited program
- Minimum of 5-7 years of experience as a paralegal or legal coordinator, with specific experience in corporate law and real estate transactions
- Experience with drafting corporate documents including written resolutions and board minutes is required
- Strong understanding of corporate governance, compliance regulations, and real estate law
- Excellent organizational skills with a high level of attention to detail
- Ability to manage multiple tasks and prioritize effectively in a fast-paced environment
- Proficient in legal research and writing
- Strong communication and interpersonal skills
- Proficiency in Google Workspace Suite and legal research tools
- High level of integrity and professionalism
- Ability to work independently and as part of a team
- Strong analytical and problem-solving skills
- Commitment to maintaining confidentiality and exercising discretion
Responsibilities
- Assist in the preparation, review, and management of corporate documents including articles of incorporation, bylaws, board resolutions, and meeting minutes
- Maintain and update corporate records and databases
- Ensure compliance with state and federal corporate governance requirements
- Coordinate with internal departments to ensure timely and accurate filings
- Monitor and ensure compliance with federal, state, and local regulations applicable to auction operations
- Conduct regular audits to ensure adherence to compliance standards and report findings to the General Counsel
- Assist in the development and implementation of compliance programs and training for staff
- Maintain up-to-date knowledge of relevant laws and regulations affecting the auction industry
- Assist in the preparation and review of documents related to real estate auction transactions, including contracts, deeds, title searches, and closing statements
- Coordinate with external parties such as buyers, sellers, real estate agents, and title companies to facilitate smooth transactions
- Conduct due diligence on properties, including zoning, environmental, and lien searches
- Prepare and manage closing documents and ensure timely and accurate execution of transactions
- Assist in the drafting, review, and management of a variety of legal documents related to auction transactions
- Conduct legal research and provide summaries to attorneys on various legal issues
- Coordinate and manage the transaction calendar, ensuring all deadlines are met
- Assist in resolving any legal issues that may arise during auction transactions
- Maintain confidentiality of all legal matters
- Provide administrative support to the legal team as needed
- Stay informed about industry trends and legal developments affecting the auction business
- Assist in special projects and perform other duties as assigned by the General Counsel
Preferred Qualifications
Experience in an auction house or high-volume transactional environment is highly preferred
