Summary

Join iSpot.tv's Legal team as a Senior Counsel! This role supports our growing Enterprise, SMB Sales, Marketing, and Procurement teams. You will collaborate with cross-functional stakeholders, providing legal counsel and strategic guidance. The ideal candidate is a solution-focused professional with strong negotiation skills and experience in technology and commercial transactions. Requirements

  • Juris Doctor (JD) and active membership in at least one state bar
  • 7+ years of experience in legal practice; a combination of in-house and law firm experience is preferred but not required
  • Expertise in technology and commercial transactions is essential; familiarity with advertising technology or a related field is a plus

Responsibilities

  • Draft, review, and negotiate complex SaaS Service (Data as a Service) Agreements, Agency Agreements and Professional Services Agreements, and other legal documents to ensure accuracy, completeness, and adherence to company policies and legal requirements
  • Support quota-carrying sales reps on closing deals and provide proactive and fast strategic stewardship during quarter-end negotiations
  • Help draft and update GTM contract templates and work with Sales Enablement teams to educate GTM Teams on negotiation strategy and new processes
  • Draft and negotiate Purchase and Vendor Agreements, including Data Hosting Services contracts, Marketing, Sponsorship and Endorsement Agreements and other related documentation for the Procurement and Marketing Departments
  • Serve as a trusted advisor and work collaboratively with Deal Desk, Revenue Operations, InfoSec and Privacy, and P&E teams to close out contract negotiations
  • Ensure all contracts meet legal, regulatory, and corporate policy standards
  • Identify and assess risks associated with contract terms and negotiate favorable conditions in collaboration with all relevant stakeholders
  • Provide counsel on regulatory and compliance issues related to privacy and new product launches and tools
  • Drive initiatives to modernize and scale legal processes and support across the organization
  • Work to consistently update standard GTM Templates

Preferred Qualifications

  • Demonstrated ability to work independently and directly with stakeholders at all levels of the organization
  • Proven track record of setting and driving strategic initiatives and providing clear guidance to teams
  • Strong project management skills, with the capacity to handle multiple priorities simultaneously while exercising sound judgment in mission-critical situations
  • Excellent communication and collaboration skills to work effectively with cross-functional partners
