Summary

Join insightsoftware as a Senior Global Corporate Governance Paralegal and provide comprehensive support for corporate governance matters across our international operations. This remote/hybrid role requires a detail-oriented professional with extensive experience in entity management, regulatory compliance, and corporate transactions. You will report to the Legal M&A Integrations & Operations Director and maintain and oversee the global entity portfolio, ensuring compliance with local jurisdiction requirements. Responsibilities include managing corporate records, coordinating annual filings, overseeing entity management software, and preparing corporate documents. You will also support M&A transaction processes and leverage AI-enabled legal and compliance tools to enhance efficiency. The position requires a Bachelor's degree or Paralegal Certificate and 5+ years of global corporate paralegal experience. International time zone coordination may be required for global collaboration.

Requirements

  • Bachelor's degree OR Paralegal Certificate from an accredited program
  • Minimum 5+ years of global corporate paralegal experience
  • Experience with privately held companies and cross-border operations
  • Proficiency with Microsoft 365 suite and DocuSign
  • Knowledge of computer-based legal research tools and resources
  • Experience with entity management software and corporate databases
  • Experience managing entities in the US, EMEA, and APAC
  • Excellent written and oral communication skills with strong critical thinking abilities
  • Exceptional problem-solving skills with ability to work with incomplete information and identify next steps
  • Exemplary personal and professional integrity with strong legal ethics
  • Ability to maintain strict confidentiality and handle sensitive information with discretion

Responsibilities

  • Maintain and oversee global entity portfolio, ensuring compliance with local jurisdiction requirements globally
  • Manage corporate records, statutory minute books, and governance documentation for subsidiaries worldwide
  • Coordinate annual filings, registered agent services, and statutory requirements across multiple jurisdictions, ensuring compliance with the latest applicable guidance
  • Oversee entity management software systems, ensuring data accuracy and system optimization
  • Prepare and file corporate formation documents, amendments, and dissolution paperwork
  • Draft and prepare board resolutions, consent actions, and corporate authorizations
  • Manage director and officer appointments, resignations, and changes across global entities in a cost effective and time efficient manner
  • Maintain signature authority matrices and corporate authorization schedules
  • Ensure compliance with corporate governance policies and procedures
  • Complete Know Your Customer (KYC) requests and other forms for banking, vendor, and client relationships
  • Prepare corporate documentation packages including certificates of good standing, corporate charts, and officer certificates
  • Coordinate with local counsel and service providers to obtain jurisdiction-specific documentation
  • Maintain current corporate organizational charts and ownership structures
  • Assist with merger and acquisition due diligence processes
  • Coordinate post-closing integration activities including entity rationalization
  • Support organizing transaction documentation and closing coordination
  • Maintain transaction-related corporate records and documentation in a structured way and communicate how to access relevant stakeholders
  • Administer entity management software platforms and databases
  • Generate reports and analytics on entity portfolio and compliance status
  • Leverage AI-enabled legal and compliance tools to enhance efficiency in document review, entity management, and governance tracking
  • Explore opportunities to integrate AI-driven process improvements into legal operations and reporting workflows

Preferred Qualifications

  • North Carolina Notary Public a plus (if local)
  • M&A integrations experience strongly preferred
  • Hands-on experience with entity management software systems, particularly Computershare (GEMS) preferred
  • Experience with private company governance requirements
  • International corporate law familiarity
  • Experience with corporate restructuring and reorganization projects
