Associate Counsel

Summary

Join Invoca as Associate Counsel and provide comprehensive legal support for our AI-powered solutions. You will play a crucial role in contract negotiation, risk management, and ensuring compliance with evolving legal standards. Collaborate with various teams, including sales, engineering, marketing, and product, to enable innovation and smooth business operations. This role involves drafting and reviewing complex commercial agreements, advising on data privacy, and monitoring changes in laws and regulations. You will report to the Senior Director, Legal and manage a wide range of responsibilities. The position offers a competitive salary and a comprehensive benefits package.

Requirements

• J.D. degree or equivalent legal degree from an accredited law school and a member in good standing in at least one U.S. state bar
• Minimum of 3+ years of relevant legal experience, with a strong preference for in-house experience at a SaaS company or other technology company and/or at a national law firm representing SaaS or technology companies
• Excellent negotiation skills and a track record of closing challenging deals
• Knowledge of data privacy laws and regulations, and experience handling and dealing with data privacy-related issues and questions
• Eagerness to learn and ability to manage multiple priorities and work independently in a fast-paced environment
• Solid understanding of AI technologies, with a keen awareness of emerging legal issues in the AI and tech space
• Exceptional verbal and written communication skills, with the ability to convey complex legal and business concepts clearly to non-legal stakeholders
• Strong interpersonal skills and a collaborative mindset

Responsibilities

• Draft, review, and negotiate a high volume and wide variety of complex commercial agreements, including SaaS agreements, data processing agreements, business associate agreements, MSAs, strategic partnerships, and vendor agreements
• Support contract lifecycle management processes and maintain and improve legal templates, playbooks, and best practices to streamline the contracting process and increase consistency
• Provide practical and strategic advice to sales, procurement, and other operational stakeholders to close deals effectively and compliantly
• Collaborate with engineering, product, marketing, and sales teams to address legal considerations and mitigate risks in product development, customer contracts, and go-to-market strategies
• Advise internal stakeholders on data privacy and cybersecurity laws and regulations, including GDPR, CCPA/CPRA, and other applicable frameworks
• Monitor and advise on changes in laws, regulations, and industry standards that impact the business, ensuring the company adapts accordingly
