Requirements
- J.D. from an accredited law school with an active bar license in good standing
- 7+ years of legal experience, with at least 3+ years in-house; prior law firm experience preferred
- Significant experience negotiating technology license agreements (software-as-a-service, software, cloud, and related ancillary documents, including SLAs, security exhibits, and privacy addenda) and vendor commercial transactions
- Familiarity with privacy, data security, and healthcare laws and regulations such as GDPR and HIPAA
- Experience with procurement support including but not limited to IT procurement (including tools with GenAI functionality), supplier relationship management, supplier onboarding, and contractual dispute resolution
- Experience working directly with product, security, and engineering teams to bring cloud-based SaaS solutions to market
- Confidence interacting with senior management and sophisticated vendors
- Excellent verbal, written communication, and interpersonal skills
- Strong problem solving, detailed analysis, and issue resolution capabilities
- Demonstrated ability to understand complex commercial and technical issues and business needs, and to identify and address associated risks
- Effective organizational, multi-tasking, prioritization, and re-prioritization skills, including, in particular, a demonstrated ability to manage high volume of workload at times
- Self-starter and problem solver accustomed to operating independently, but while exercising sound judgment regarding appropriate escalation
- Proactive in pursuit of continuous improvement, learning new skills, and addressing business needs with practical solutions
- High ethical standards and sound judgment in handling sensitive and confidential information
Responsibilities
- Lead and work alongside other team members negotiating, drafting, updating and maintaining company contracts including customer and partner agreements, supplier procurement and service agreements, marketing promotional terms, and other corporate transactional agreements
- Work closely with procurement and vendor risk management functions to further develop, maintain, and operationalize processes related to vendor assessment, on-boarding, risk and performance monitoring, policy compliance, and offboarding
- Maintain standard templates and playbooks for customer agreements; provide guidance and help drive maintenance of contracting processes
- Identify, manage, and escalate issues and risks arising during negotiations
- Advise product, engineering, operations, security, HR, and marketing teams on meeting strategic objectives while complying with laws, regulations, best practices, and customer requirements with specific attention to copyright, IP, privacy, and AI
- Present complex issues in a clear and concise manner and provide succinct results-oriented legal advice to organizational stakeholders
- Proactively support opportunities to improve process efficiency within the legal team
- Support key business units such as HR and Security, in developing and reviewing policies and procedures
- Develop training materials and conduct training sessions for product and business teams
- Stay current with legal developments; anticipate future legislation impact on business operations; ensure compliance with legal and regulatory requirements; and advise leadership team on necessary or recommended changes
- Be willing to grow and assume additional responsibilities as needed
