Requirements

  • J.D. from a top-tier law school and membership in a U.S. state bar
  • 7+ years of legal experience, with a strong focus on enterprise SaaS agreements, commercial transactions, and supporting sales and field operations
  • Deep understanding of SaaS business models, licensing structures, and data privacy regulations (e.g., GDPR, CCPA)
  • Proven ability to draft and negotiate complex enterprise agreements with Fortune 500 companies and other large organizations
  • Strong knowledge of intellectual property law and experience advising on product development and licensing
  • Excellent written and verbal communication skills, with the ability to work collaboratively with cross-functional teams
  • Highly organized, detail-oriented, and capable of managing multiple priorities in a fast-paced environment
  • Entrepreneurial mindset with a focus on balancing risk mitigation and business enablement

Responsibilities

  • Drive all legal initiatives for the company, serving as a strategic partner to key stakeholders across the organization
  • Draft, review, and negotiate complex enterprise SaaS agreements, including customer contracts, master service agreements, partnership agreements, and licensing deals
  • Develop scalable contracting processes and templates to enable an efficient and compliant sales cycle
  • Provide legal counsel on sales and field operations, including issues related to data security, privacy, compliance, and customer engagement
  • Oversee corporate governance, including board and subsidiary governance, and support strategic initiatives such as funding rounds, partnerships, and expansion efforts
  • Partner with HR on employment-related legal matters, including compliance with labor laws, workplace policies, and employee relations
  • Advise on privacy and data protection matters, ensuring compliance with global regulations such as GDPR, CCPA, and other industry-specific standards
  • Collaborate with product and engineering teams to provide legal guidance on product development, licensing, and intellectual property matters
  • Partner with marketing teams to review campaigns and materials for compliance with advertising and intellectual property laws
  • Proactively identify and mitigate legal risks while enabling the company to achieve its business objectives
  • Manage relationships with external counsel and ensure the efficient use of resources to address specialized legal needs
