Summary

Join World Business Lenders (WBL) as their Corporate and Compliance Counsel! This remote contract/consultant position demands a high-performing individual to handle all legal, compliance, regulatory, and operational matters (excluding litigation and administrative matters) within a fast-paced environment. The role requires providing legal advice and support on U.S. federal and state regulatory, compliance, and corporate matters, including mortgage lending and corporate governance. You will oversee compliance protocols, manage agreements, organize board meetings, and ensure accurate reporting. Additional responsibilities include supporting multi-state licensing, preparing loan documents, assisting with M&A activities, and developing corporate policies. This position offers a full-time consultancy agreement with PTO and a competitive salary.

Requirements

  • 5–10 years of regulatory, compliance, and corporate legal experience in financial services, real estate, or mortgage banking across the U.S
  • Strong knowledge of U.S. federal and state laws, regulations, and licensing requirements related to residential and commercial mortgage lending and corporate governance
  • Excellent command of the English language, both written and verbal
  • Outstanding organizational and communication skills, with strong attention to detail and follow-through
  • Demonstrated ability to draft, review, and negotiate legal documents with superior legal research and writing skills
  • Proven analytical and critical thinking abilities with strong business judgment and problem-solving skills
  • Able to thrive in a fast-paced, deadline-driven environment and manage multiple projects simultaneously
  • Highly resourceful, proactive, and capable of establishing effective working relationships across teams
  • Proficient in Microsoft Office and Adobe applications

Responsibilities

  • Provide legal advice, guidance, and support on U.S. federal and state regulatory, compliance, and corporate matters, including mortgage lending and corporate governance
  • Coordinate and oversee an effective compliance environment and protocol in line with industry best practices and regulatory requirements
  • Prepare, review, and manage agreements, including those between affiliates, as well as corporate governance documents such as operating agreements and articles of incorporation
  • Organize board meetings, draft and maintain corporate minutes, and support corporate governance initiatives
  • Ensure timely, accurate, and compliant internal and regulatory reporting; manage responses to regulatory examinations and complaints
  • Support multi-state residential mortgage licensing surveys, applications, maintenance, and renewals
  • Identify and prepare required residential mortgage loan closing documents and disclosures
  • Provide support on M&A activities including due diligence and post-closing integration
  • Develop and maintain corporate and compliance-related policies and procedures that align with legal, regulatory, and operational needs
  • Communicate with and manage outside counsel as needed
  • Perform other projects and duties as assigned

Preferred Qualifications

Law degree from a nationally accredited U.S. law school preferred
