Summary
Join Flexe, a technology and logistics company, as a Senior Corporate Counsel specializing in commercial agreements and privacy. You will collaborate with commercial teams to draft, review, and negotiate contracts, providing legal counsel and managing compliance risks related to privacy, technology, and supply chain issues. This role involves working with cross-functional teams, including Information Security and engineering, to ensure compliance with privacy programs and obligations. You will also draft and negotiate data privacy, technology, and SaaS agreements. The position reports to the VP, Head of Legal and offers a competitive salary and benefits package. Requirements
- JD with state bar admission (Washington preferred but not required)
- 7+ years of total relevant experience (in-house experience preferred)
- Experience drafting and negotiating commercial and vendor agreements
- Experience with training others on legal requirements and related subjects
- Experience with data privacy matters, including negotiating data privacy agreements
- Experience negotiating, drafting and interpreting contracts related to technology and software agreements
- Experience engaging and guiding outside counsel to develop practical strategies to address real-life business problems
- Experience learning new areas of law
- Clear and succinct verbal and written communication skills with an ability to translate complex material to clear and actionable advice
- Aptitude for innovative and goal-oriented problem solving in service of business objectives
- Very strong organizational skills, especially the ability and confidence to assess and prioritize competing, time-sensitive projects
- Excellent judgment and ability to balance business needs & goals and legal risks
- Comfortable working independently and as a cross-functional partner
- Ability to support and foster company values and ethics
Responsibilities
- Contract Review and Negotiation
- The attorney will be responsible for contract review, negotiation and drafting, including contracts with customers, warehouse operators and vendors
- The attorney will work directly with internal clients and with counsel for customers and others to negotiate contracts and resolve issues
- Data Privacy and Technology
- This role will serve as the primary attorney responsible for any contract review, negotiation and drafting relating to data privacy, technology or related issues
- The attorney will serve as a trusted advisor to the business to provide advice on data privacy related issues related to the companyβs technology platform and data collection and use
- This role will be responsible for assisting with and advising on potential privacy incidents and data subject requests
- The attorney will monitor relevant privacy and data protection laws and enforcement activities to ensure ongoing compliance, track emerging risks and assist with policy creation and other program materials
- Regulatory Compliance and Contract Review
- Draft, negotiate and review agreements related to procurement of goods and services, including software and SaaS agreements
- Conduct periodic reviews and audits of operations to proactively identify potential compliance risks and recommend practical solutions
- Evaluate and support potential AI tools and policies within the organization
- Work with and manage outside counsel as needed
- Legal Team and Organization Support
- The incumbent will play a key role on the Legal team and must be willing to assist in new areas as our business may require
Preferred Qualifications
- The ideal candidate will have a passion for negotiation and problem solving, and genuine enthusiasm for fostering partnerships across functions and levels to make the business better
- At least 3 years experience in areas of data privacy and data protection
- Experience creating and implementing privacy or other regulatory compliance programs
- Experience in 3PL, supply chain and/or warehouse industries is preferred
- Knowledge of international trade regulations, supply chain management, logistics, hazmat regulation is a plus
- Familiarity with emerging technology such as artificial intelligence
