Corporate Counsel

Summary

Join Cision's Legal Department as a full-time attorney. This role requires strong transactional experience to collaborate with sales, marketing, and other business units on contract matters. You will draft and negotiate various commercial contracts, provide legal support, and advise on commercial initiatives. The ideal candidate possesses a JD degree, 5+ years of legal experience (including software and services contract experience), and excellent communication and interpersonal skills. A competitive salary is offered, ranging from $110,000 to $124,000 annually for specified locations.

Requirements

• JD degree from an ABA accredited institution and active Bar membership
• 5+ years of legal experience, preferably with 3-5 years software and services contract drafting and negotiation experience in the technology field
• Familiarity with legal/licensing concepts such as intellectual property, limitations of liability, indemnification, etc
• Excellent written and verbal communication skills
• Computer skills, especially Microsoft Office
• Ability to prioritize and work under tight deadlines in a service oriented and sales-driven environment
• Strong interpersonal skills, and ability to interact effectively and work diplomatically with individuals at all levels within the organization
• Organized, efficient and able to handle multiple tasks with ease and professionalism
• Willingness to master new and unfamiliar areas of practice

Responsibilities

• Draft and negotiate commercial contracts for various business units including NDAs, MSAs, technology agreements, partnership agreements and vendor contracts
• Provide legal support on transactional, corporate governance and compliance activities
• Provide support and day-to-day legal advice to Cision’s various business units including IT, and international entities
• Advise on various other commercial initiatives within Cision which may include compliance activities and policies
• Review key RFPs and proposal responses for legal compliance
• Coordinate training and awareness activities for Sales related to business issues and standard counterarguments
• Research and analyze various legal issues
• Perform other duties as required
