Corporate Counsel

Summary

The Senior Corporate Counsel for SaaS Product will be responsible for providing legal support and strategic guidance on SaaS products, ensuring compliance with regulations, managing risks, and supporting business growth. They will work closely with various departments including Product, Engineering, Sales, and Customer Success.

Requirements

• Bachelor’s degree in Law (LLB) from an accredited institution. A Master’s degree in Law (LLM) or relevant certifications is preferred
• Admission to the Bar Council of India
• Minimum of 8+ years of legal experience, with significant experience in SaaS or software industry
• Strong background in contract negotiation, data privacy, IP, and compliance
• In-house legal experience at a technology company or experience at a law firm advising technology clients is preferred

Responsibilities

• Advise on legal issues related to the development, marketing, and sales of SaaS products
• Review and provide input on product features and functionalities from a legal and compliance perspective
• Draft and negotiate SaaS agreements, including service level agreements (SLAs), end-user license agreements (EULAs), and terms of service (TOS)
• Ensure compliance with relevant laws and regulations, including data privacy laws (e.g., GDPR, CCPA)
• Develop and maintain compliance programs and policies related to SaaS products
• Monitor changes in regulations and advise on necessary adjustments to business practices
• Manage and protect the company's intellectual property portfolio related to SaaS products
• Conduct IP risk assessments and provide guidance on mitigating IP risks
• Identify and mitigate legal risks associated with SaaS products
• Advise on incident response and data breach management
• Support sales and procurement teams with contract negotiations and deal structuring
• Assist in M&A activities as they pertain to SaaS products, including due diligence and integration
• Provide legal support on general corporate matters, including corporate governance and compliance
