Remote Head of Commercial Counsel

Summary

The Head of Commercial Counsel will oversee all commercial legal matters at Twelve Labs, a cutting-edge multimodal AI company backed by top-tier venture capital firms. The role involves drafting, reviewing, and negotiating agreements, managing legal risks, ensuring compliance with regulations, and providing strategic guidance to senior leadership.

Requirements

• Juris Doctor (JD) degree from an accredited law school and admission to the bar
• Minimum of 10 years of experience in commercial law, with a strong background in contracts, negotiations, and compliance

Responsibilities

• Lead the drafting, review, and negotiation of high-impact customer, licensing, and partnership agreements
• Develop and manage an efficient contract life cycle to balance strategic business objectives with effective risk management
• Serve as a key advisor to Sales and Finance leadership, providing strategic guidance on complex commercial and financial operations
• Obtain and maintain a comprehensive understanding of the company’s products (current and emerging) and become a subject matter expert and advisor on relevant regulatory regimes
• Oversee the development and execution of a comprehensive compliance strategy, ensuring alignment with industry standards and regulations
• Deliver training programs to internal stakeholders and establish policies and best practices for compliance
• Partner closely with technical, product, internal, and commercial teams to proactively manage risks, identify legal issues, and drive decision-making
• Provide strategic support during fundraising efforts, assist with due diligence, build data rooms, and ensure financing documents are accurate and complete
