Paralegal

Summary

Join our team as a Paralegal and assist in various aspects of fund formation and fundraising. You will be responsible for gathering and reviewing investor documents, conducting compliance checks, and managing regulatory filings. Additional duties include assisting with investor transfers, preparing company documents, drafting internal memos, and managing data rooms. Experience as a Paralegal is required, while experience in transactional matters is preferred. The position offers a work-from-home setup with a flexible schedule.

Responsibilities

• Assist in fund formation and fund raise process, including: Investor subscription document gathering and review
• OFAC/KYC/AML checks
• Regulatory filings
• LPAC formation and documentation
• Tracking progress and ensuring all necessary documents have been drafted, signed, and filed
• Assist with investor transfers and consents
• Assist with various documents related to company deal flow (acquisitions, investments, dispositions, board membership)
• Assist in drafting internal memos
• Assist with subpoena responses
• Assist with third-party service provider diligence and documentation
• Data room implementation and management
• Internal record keeping/tracking

Preferred Qualifications

• Experience handling transactional matters, including mergers and acquisitions, real estate, investment funds, financings, commercial contracts, etc
• Experience ensuring compliance with relevant regulations and legal requirements

• Working Hours : For the first few months, working hours are US hours, Monday to Friday, starting at 11 PM (Philippine time). After being fully trained and able to work with less supervision, you will be expected to shift to a schedule starting at 5 AM or 6 AM (Philippine time)
