Senior Corporate Paralegal

Summary

Join Agile Legal, a fast-growing company, as a project-based senior corporate paralegal in a remote 1099 position. You will provide legal support to businesses and law firms, focusing on corporate law matters. The ideal candidate possesses extensive experience in corporate law, including entity formation, transactions, and filings. Daily tasks involve drafting legal documents, preparing filings, communicating with clients, and ensuring compliance. This role requires strong organizational skills, attention to detail, and the ability to work independently and collaboratively. Flexible hours and fully remote work are offered.

Requirements

• Minimum of five years of specialized experience in corporate law
• Experience with one or more software platforms
• Proficiency in Microsoft Office and Adobe

Responsibilities

• Drafting resolutions, consents, minutes, stock transfers, agreements, bylaws, articles, certificates, amendments and affidavits for all types of business entities
• Preparing and filing articles, withdrawals, amendments, qualifications, dissolutions, articles of merger, annual reports, business certificates and financing statements in all states
• Direct communication with clients and client advisors
• Complying with and understanding company operations, policies and procedures
• Keep confidentiality of client and client’s client matters
• Performing other related duties as assigned

Preferred Qualifications

• Familiarity with corporate closings, venture capital financings, and NVCA forms
• Experience with taking board minutes and corporate secretarial functions
