Summary
Join Paxful's legal team as a Senior Counsel, Legal, reporting directly to the General Counsel. You will be the primary in-house legal advisor for commercial and corporate matters, including strategic investments, partnerships, joint ventures, and mergers and acquisitions. This role requires managing multiple simultaneous transactions, acting as the primary legal advisor for corporate transactions, and collaborating with various teams. You will structure and negotiate international partnerships, lead and manage multiple projects, and provide counsel on complex legal and compliance issues. Requirements
- Be a highly qualified, team-oriented transactional attorney with significant experience in complex contracts and transactional documentation
- Be active and in good standing in one State Bar in the United States
Responsibilities
- Serve as the primary in-house attorney for corporate projects, managing multiple simultaneous transactions, including acquisitions of crypto startups or platforms, mergers between blockchain-based companies to consolidate technology or market presence, and sales of tokenized assets or intellectual property
- Act as the primary legal advisor for corporate transactions, including financings, acquisitions, divestitures, and joint ventures, while supporting corporate development activities such as equity financings, acquisitions, acquihires, and strategic partnerships at all stages. This includes conducting due diligence, drafting and negotiating definitive documentation, managing transaction closings, and overseeing post-closing integration
- Collaborate closely with business, corporate development, compliance, and operations teams on a range of matters, including options and equity administration, M&A transactions, and other significant commercial deals
- Structure, negotiate, and document international partnerships and other relationships, with a strong focus on the crypto ecosystem
- Lead and manage multiple projects efficiently, providing counsel on complex legal, compliance, and business issues
- Perform various other duties as delegated by the General Counsel
Preferred Qualifications
- Have 4-6+ years of relevant experience at a top law firm, with significant experience working with large companies
- Have prior in-house experience at a financial technology company
- Have a strong interest in cryptocurrency, blockchain technology, and their evolving legal and regulatory landscapes
- Possess excellent negotiation, drafting and project management skills
- Possess excellent judgement, analytical rigor, and business pragmatism
- Have experience communicating with cross-functional teams
- Have very strong attention to detail and ability to stay organized in a fast-paced environment
