Remote Corporate Counsel

Join our thriving legal team as a Corporate Counsel and partner with our sales organization on six and seven figure transactions with large enterprise customers.

Requirements

• Juris Doctor (JD) degree or its equivalent
• Licensed to practice in at least one U.S. state or relevant jurisdiction
• 3-6 years post-law school experience
• Time in-house at a software or SaaS company preferred
• Experience working on commercial transactions with a global sales team
• Knowledge of GDPR and other data privacy laws

Responsibilities

• Manage, advise on and negotiate complex legal and business transactions including licenses, partnership agreements, channel agreements, etc
• Lead a business focused legal function, contributing to the strategy of the business and driving performance
• Influence, evaluate, and effectively manage timely and cost efficient outside legal counsel services and expert advisors as needed
• Support business operations and provide direction and counsel regarding compliance with all applicable laws and regulations, and staying abreast of laws, legislative developments and developing external trends
• Advise Human Resources on employment law matters to ensure statutory and regulatory compliance
• Advise and counseling on equity and tax issues and regulations, including assessment and advice on current and future business structures and legal entities
• Maintain responsibility for and manage all aspects of the ethics and corporate compliance function
• Manage the intellectual property portfolio, including trademark and copyright registration and protection, and patent matters
• Handle additional responsibilities as assigned
