Summary

Join Planet and be a part of our mission to change the way people see the world. We're seeking a Corporate Counsel to join our Legal team, reporting to our SVP Legal. This role will advise on U.S. corporate and general commercial matters.

Requirements

  • Juris Doctor (JD) from an accredited law school
  • 6+ years of legal experience with at least 4+ years of this experience as an attorney
  • Membership in at least one state bar
  • Superb written, oral, and interpersonal communication skills
  • Ability to build consensus for decisions and quickly drive to effective resolution
  • Experience proactively problem-solving and taking ownership over projects and responsibilities
  • Ability to effectively manage tight deadlines, competing demands, and multiple projects simultaneously with minimal supervision
  • Exceptional business acumen, and the ability to work collaboratively with diverse individuals at all levels of an organization
  • Proven leadership and customer-service focus in building relationships
  • Significant corporate law experience
  • Outstanding organizational, prioritization, and project management skills

Responsibilities

  • Managing and overseeing: annual, quarterly and general SEC filings; Section 16 filings; board prep; proxy and AGM; earnings materials
  • Managing corporate governance and associated compliance
  • Maintaining/updating intercompany agreements
  • Collaborating with the legal team and company management on various special projects
  • Provide counsel and advice to cross-functional stakeholders and senior leaders to set the company’s legal strategy on a broad range of matters related to corporate and transactional matters
  • Review communications and marketing materials with an eye on corporate and securities matters (e.g. forward looking statements, etc.)
  • Train employees on legal matters and company policies to promote a culture of compliance and ethical behavior
  • Review, draft, and negotiate a variety of agreements with our clients and vendors, who range from governments and multinational corporations to startups, nonprofits, and more
  • Support the continued improvement of standard form agreements, legal processes and company policies
  • Support product development, readiness and releases
  • Support privacy team on day to day operations, compliance and best practices
  • Provide excellent customer service, support the day to day operations of the company and work cross-functionally with other departments like Sales, Product, Proposal Team, Finance, Revenue Operations, and others
  • Other duties as assigned
