Summary
Join World Business Lenders (WBL) as an Associate Corporate Counsel and contribute to a fast-paced, results-oriented environment. This 100% remote contract/consultancy position focuses on corporate governance matters. You will provide legal advice, prepare and review agreements, maintain best practices, and support M&A activities. The ideal candidate possesses 2-5 years of relevant experience in financial services, excellent communication and legal skills, and proficiency in Microsoft Office and Adobe applications. Compensation is determined based on experience. This role offers the flexibility of fully remote work.
Requirements
- Law degree
- 2-5 yearsβ legal, corporate and operations experience in financial services/real estate/mortgage banking throughout the U.S
- Demonstrated experience with and working knowledge of U.S. federal and state commercial and mortgage lending laws, rules and regulations, and licensing requirements
- Excellent command of the English language (both written and verbal)
- Excellent organizational, communication (both written and verbal) and technology skills
- Strong legal research, document drafting and writing skills
- Superior analytical skills
- Excellent business judgment, as well as practical and creative problem-solving skills
- Demonstrated ability to work in a fast-paced, deadline-driven environment and handle multiple projects simultaneously, while establishing and maintaining effective work relationships both internally and externally
- Detail-oriented and resourceful with excellent follow-through skills
- Proficient in all Microsoft Office and Adobe applications
Responsibilities
- Provide advice, guidance, and support in connection with corporate transactions
- Prepare and review agreements between affiliates
- Maintain a best practices corporate governance environment and protocol
- Organize board meetings and draft minutes
- Draft operating agreements, articles of incorporation, agreements, and other corporate documents
- Ensure compliance with corporate policies, regulatory requirements, and industry standards
- Support M&A activities, including due diligence and post-closing integration
- Assist in the development and implementation of corporate policies and procedures
- Perform other projects and duties as assigned
Preferred Qualifications
Law degree; from a nationally accredited U.S. law school
