Summary

Join the Sui Foundation as an experienced Corporate Paralegal and Token Administrator, reporting to the General Counsel. You will manage Sui Foundation's token incentive plans for employees, including grants, vesting schedules, and related documentation. Collaborate with internal and external stakeholders to ensure accurate taxation and timely recording of token transactions. Partner with the Legal team on corporate legal issues, including global corporate governance and international expansion. Draft and review commercial contracts, assist with employment legal matters, and manage the contract management process. This role requires a minimum of 5 years of experience in corporate paralegal and equity/token administration. The position is fully remote and offers tremendous growth potential within a world-class team.

Requirements

  • A minimum of 5 years experience of corporate paralegal and equity/token administration experience in top law firms or high-growth tech companies
  • Strong knowledge of corporate and securities laws, including global taxation of compensatory awards
  • Bias for action—a proactive self-starter who thrives in fast-paced, high-stakes environments
  • Sharp business judgment with the ability to assess risk quickly, even with imperfect information
  • Detail-oriented and process-driven, with a track record of improving workflows and operations
  • Solutions-focused collaborator, able to work cross-functionally to drive outcomes
  • Highly organized with strong project management skills, prioritizing effectively under tight deadlines

Responsibilities

  • Manage Sui Foundation’s token incentive plans for all employees, including token grants, Rule 701 analyses, vesting schedules, and related documentation
  • Partner with internal cross-functional stakeholders such as People, Ops and Finance, as well as our external tax and payroll providers to facilitate token settlement and ensure accurate taxation and timely recording of token transactions
  • Manage our third-party token administration platform (Pulley), and drive the development of, or search for, a scalable token administration solution
  • Respond to token-related inquiries from employees, and lead our development of employee education to support understanding of the company’s token plans and policies
  • Serve as partner to the Legal team on all corporate legal issues, including worldwide corporate governance (e.g. board and shareholder resolutions), international expansion and preparation of company policies
  • Draft and review commercial contracts, including MOUs, vendor agreements, NDAs, and other general business contracts
  • Assist with employment legal matters, such as reviewing offer letters, separation agreements, and communicating with terminated employees
  • Work with Ironclad contract automation and assist with the implementation of new processes and procedures to streamline legal operations
  • Manage our contract management process on Ironclad including sending out documents, approving documents and sending out contracts for execution
  • Facilitate strategic and financial transactions, including assisting with due diligence, document drafting, fundraising transactions and secondary transfers
  • Maintain accurate, up-to-date and organized legal files
  • Do whatever needs to be done, and do the right thing

Preferred Qualifications

  • Passion for blockchain or cryptocurrency is a strong plus
  • Familiarity with Pulley, Ironclad, or similar contract management tools is a bonus
